<p>Understanding that the protection of your business is paramount we work with you and your advisers in creating a framework that provides certainty for all stakeholders by addressing voluntary and involuntary exit events, defining roles and responsibilities and commitment approval limits, the rights to maintain ownership of equity, decision making and voting rights, funding requirements, valuation for the enterprise and funding for buy/sell purposes. Each and every succession plan is tailored to accommodate the nuances of each business ensuring that the succession plan is highly relevant.</p>

<h3 class=”caps”>PPSA Compliance</h3>
<p>The <span class=”ital”>Personal Property Security Act 2009</span> (<span class=”bold”>PPSA</span>) regulates all forms of security interests, of which is broadly defined by the Act; these interests must be registered to maintain their enforceability. The Act covers both tangible and intangible property. We can assist with the preparation and advice for leasing and licensing arrangements of personal property (including related party), credit applications and retention of title, sale of assets, loan and security arrangements and due diligence and release of security interests.</p>

<h3 class=”caps”>Owning property using smsf</h3>
<p>The <span class=”ital”>Superannuation Industry (Supervision) Act 1993</span> and regulations allow for the investment of self-managed superannuation funds (<span class=”bold”>SMSF</span>) in property. We work with our clients and their advisers in providing advice and then implementing compliant structures that allow for the investment of superannuation in business real property utilising any one or more combinations of superannuation, borrowed funds from either a third party financier or related entity, non SMSF funding through geared and ungeared unit trusts and limited recourse borrowing arrangements.</p>
